PE is sitting on more dry powder than it can put to work at the old playbook. Hold periods stretched. Exit queues backed up. LPs want cash. That pressure is not a theory. It is the operating environment.

The response that is actually working is simple: buy fragmented, low-tech cash cows. Install a centralized AI operating layer. Expand margins. Re-rate the multiple. Sell the AI-enabled story, not the original one.

Tech-enabled and AI businesses have been trading in a different band than traditional operators. That spread is the trade. You are not betting on a chatbot. You are buying time, labor, and process debt cheap, then compressing it.

The four-stage map

1. Source for process density, not narrative

Look for businesses with repetitive, high-volume work: quoting, intake, scheduling, AP/AR, compliance packs, customer ops, reporting. Those are agent jobs. Ignore the founder story until you have mapped the mechanical work.

2. Diligence the workflow, not the slide

Ask: which tasks happen every day, who does them, what tools they live in, what error rate is tolerated, and what a 20% cost-to-serve drop does to EBITDA. If you cannot draw the workflow on one page, you cannot automate it.

3. Install one brain, not twenty tools

Centralize context. Route work to agents with clear owners. Keep humans on exceptions and relationships. The win is not more software. The win is fewer handoffs and a shorter cycle from request to done.

4. Sell the new operating system

Buyers pay for durability and margin. Show before/after cycle time, headcount per unit of output, error rates, and how the agent layer travels to the next add-on. That is how you argue a premium multiple instead of a traditional one.

What this means if you already sold once

If you took a PE check or sold the first company, this is the second-bite design spec. Do not rebuild a people-heavy ops org and hope AI arrives later. Design the company so agents own the mechanical layer from day one. That is how you keep more of the next exit.

Speed is not the moat. A mapped workflow with agents on the repetitive work is the moat.
